This Terms and User Agreement shall be effective from 24 April 2026.

1. Introduction and Agreement to Terms

1.1 Welcome to the website of CHRISTIANA MAXION SOLUTIONS LIFESTYLE DEVELOPMENT CONSULTANCY, a company duly registered with the Abu Dhabi Department of Economic Development and licensed under commercial license number CN-4443231 (“CMSLDC”, “we”, “us” or “our”). By accessing or using this website at christianamaxion.com (the “Website”), you agree to be bound by these Terms and Conditions of Use (the “Terms”). If you do not agree to these Terms, please do not use the Website.

1.2 These Terms constitute a legally binding agreement between you and CMSLDC. They should be read together with our Privacy Policy, available on our Website, which is incorporated into these Terms by reference.

1.3 We reserve the right to amend these Terms at any time. Any amendments will take effect immediately upon being posted on the Website. The Effective Date indicates when these Terms were last revised. Your continued use of the Website following the posting of any revised Terms (from time to time) constitutes your acceptance of those changes and adherence to the same.

1.4 All capitalised terms in this clause 1 will have the meanings set out in clause 2.1.

2. Definitions and Interpretation

2.1 In these Terms, the following words and expressions have the meanings set out below:

“Candidate” means an individual who registers on the Website to join our database and to be potentially matched with a Client as part of the Candidate Services, whether or not a fee is payable; “Candidate Services” means the services provided by CMSLDC to Candidates, including registration on the database and facilitation of Introductions to Clients; “Client” means an individual who contacts CMSLDC and applies to purchase a matchmaking package as part of the Client Services; “Client Services” means the paid matchmaking services provided by CMSLDC to Clients pursuant to a separate Private Matchmaking Agreement; “CMSLDC” has the meaning given to it in clause 1.1; “Confidential Information” means any information relating to a Candidate or Client that is shared by CMSLDC for the purposes of facilitating Introductions, including but not limited to Profile details, photographs, contact information, personal preferences and lifestyle information; “Content” has the meaning given to it in clause 18.1; “Date” means any in-person or virtual meeting arranged between a Candidate and a Client by CMSLDC as part of the Services; “Effective Date” means the date at the top of these Terms at the time at which the Website is accessed; “Introduction” means the sharing by CMSLDC of a Candidate’s Profile and relevant details with a Client, or vice versa, for the purpose of facilitating a potential match; “Private Matchmaking Agreement” means a separate written agreement entered into between CMSLDC and a Client governing the terms of the Client Services; “Profile” means the biographical information, photographs, written responses, preferences and other personal details submitted by a Candidate or Client to CMSLDC for use in connection with the Services; “Services” means, collectively, the Candidate Services and the Client Services, as the context may require; “Terms” has the meaning given to it in clause 1.1; “UAE” means the United Arab Emirates; “User Content” has the meaning given to it in clause 19.1; and “Website” has the meaning given to it in clause 1.1.

2.2 Interpretation. In these Terms: (a) reference to a “clause” is a reference to a clause to these Terms unless otherwise specified; (b) the word “including” and words of a similar effect shall not affect the generality of the preceding words; (c) references to persons shall include bodies corporate, unincorporated associations and partnerships, in each case whether or not having a separate legal personality; (d) words imposing the singular shall also include the plural and vice versa where the context requires; (e) where figures are referred to as numerals and words, if there is any conflict between the two, the words shall prevail; (f) a reference to any law means such law as amended, modified, codified, replaced or re-enacted; and (g) all headings or captions contained in these Terms are for convenience or reference only, do not form a part of these Terms and shall not affect in any way the meaning or interpretation of these Terms.

3. Who These Terms Apply To

3.1 These Terms apply to all users of the Website, including: (a) individuals who are applying to register as Candidates and join CMSLDC’s database free of charge for the purpose of being considered for Introductions to Clients; and (b) individuals who are applying to become Clients and purchase a matchmaking package from CMSLDC.

3.2 Certain provisions of these Terms only apply either: (i) to Candidates; (ii) or to Clients. These provisions will be clearly indicated. Where no such distinction is made, the relevant provision applies to all users of the Website whether Clients or Candidates.

3.3 Clients will, in addition to these Terms, be required to enter into a Private Matchmaking Agreement with CMSLDC governing the specific terms under which the Client Services will be provided. In the event of any conflict between these Terms and the Private Matchmaking Agreement, the Private Matchmaking Agreement shall prevail in respect of the provision of the Client Services.

4. Eligibility

4.1 The Website and our Services are available only to individuals who are eighteen (18) years of age or older. By using the Website, you represent and warrant that you meet this requirement.

4.2 By registering as a Candidate or applying to become a Client, you additionally represent and warrant that: (a) you are not currently married; (b) you are legally permitted to date and enter into relationships in your jurisdiction; (c) all information you provide to CMSLDC is truthful, accurate, and complete; and (d) you have disclosed to CMSLDC any criminal convictions, restraining orders, domestic violence matters or allegations of sexual misconduct or harassment that could reasonably impact your suitability for participation in our Services, or that are reasonably likely to appear in internet or other public search results.

4.3 CMSLDC reserves the right to suspend or terminate your participation in the Services at any time if it determines, in its sole discretion, that any material information has been misrepresented or omitted, or that you no longer meet the eligibility criteria set out in this clause 4.

5. Our Services

5.1 Candidate Services

(a) The Candidate Services are available free of charge to eligible individuals. By registering as a Candidate, you agree to provide CMSLDC with accurate and complete information about yourself, which may include your name, age, gender, sexual orientation, photographs, lifestyle preferences, dating history and other personal information as requested from time to time.

(b) Registration as a Candidate does not guarantee that you will be selected for an Introduction or matched with a Client. CMSLDC retains absolute discretion as to which Candidates are selected for Introductions and reserves the right to remove any Candidate from its database at any time, for any reason, without prior notice. Any Profile data that is deleted may not be recoverable.

(c) By registering as a Candidate, you expressly consent to CMSLDC sharing your Profile, photographs, written responses and other details you provide with prospective Clients for the purpose of facilitating Introductions. CMSLDC is not required to seek your separate approval prior to each such presentation.

(d) CMSLDC acts solely as an introducer and facilitator. We are not a party to any relationship, agreement or interaction between any Candidate and Client and assume no responsibility for the conduct of either party.

5.2 Client Services

(a) The Client Services are available to eligible individuals who have entered into a Private Matchmaking Agreement with CMSLDC and paid the applicable fees as agreed therein. Applying through the Website does not automatically result in the offer of a matchmaking package. CMSLDC will contact applicants to discuss the Client Services before any agreement is entered into.

(b) By applying to become a Client, you consent to CMSLDC sharing your Profile, photographs and relevant application details with carefully selected prospective matches within our private network as part of the Introduction process. Such information will not be publicly posted and will only be shared privately with prospective matches.

(c) CMSLDC does not guarantee a minimum number of Introductions or that any Introduction will result in a relationship or any particular outcome. The nature of matchmaking is inherently subjective and results may vary.

5.3 No Compensation

(a) Regardless of whether you register as a Candidate or apply as a Client, by joining our network you acknowledge and agree that you will not receive any money, gifts or reimbursement of any kind in connection with the Services, except as may be required by applicable laws.

(b) Any fees paid by Clients to CMSLDC are confidential to CMSLDC and are solely for the facilitation of Introductions. Candidates must not discuss or enquire about the fees paid by any Client.

6. No Guarantee of Outcomes

6.1 CMSLDC does not guarantee that any Candidate will be matched with a Client or that any Introduction or Date will lead to a relationship, marriage or any other particular outcome.

6.2 Matchmaking Services are inherently subjective in nature. CMSLDC makes no representations or warranties regarding the satisfaction of any specific preferences, compatibility criteria or desired outcomes.

6.3 Any statements made by CMSLDC regarding the Services or any Candidate or Client shall not constitute guarantees or representations and shall be construed as expressions of opinion only.

7. Assumption of Risk and Personal Safety

7.1 Participation in the Services is voluntary. You acknowledge that CMSLDC does not control the actions, behaviour or representations of any Candidate or Client introduced through the Services.

7.2 Any interaction, communication, Date, or relationship with any person introduced through the Services is undertaken at your own discretion and risk, based entirely on your personal judgement. CMSLDC provides no guarantee of safety, compatibility or outcome in relation to any Introduction.

7.3 CMSLDC is not liable for anything that happens during or after a Date or other meeting arranged through the Services, including but not limited to illness, injury or death. Candidates and Clients are expected to exercise good judgement and take all reasonable precautions for their own safety.

7.4 To the fullest extent permitted by applicable law, you release and hold harmless CMSLDC, its owners, employees, agents and affiliates from any claims, liabilities, damages or losses arising out of or relating to any interaction, communication, meeting or Date with any person introduced through the Services.

8. Safety and Conduct

8.1 CMSLDC maintains a respectful and safe environment for all participants. If CMSLDC receives a credible report that a Candidate or Client has engaged in conduct that made another participant feel unsafe, harassed, threatened or uncomfortable, CMSLDC reserves the right, in its sole discretion, to suspend or permanently terminate that individual’s participation in the Services without refund.

8.2 CMSLDC may suspend or restrict your access immediately, without notice, where we reasonably believe it is necessary to protect the safety, privacy or wellbeing of any participant.

8.3 CMSLDC may disclose information to law enforcement or other appropriate authorities where required by applicable laws, or where it believes in good faith that such disclosure is necessary to protect the safety of participants or to prevent foreseeable harm.

9. No Background Checks and No Verification of Statements

9.1 CMSLDC does not, as a matter of practice, conduct criminal background checks, credit checks, employment verification, financial verification or identity verification on Candidates or Clients. CMSLDC undertakes preliminary identification verification only.

9.2 Whilst CMSLDC may, in its sole discretion, conduct limited public record or internet searches in respect of certain individuals, it does not guarantee the accuracy, completeness or reliability of any such information. CMSLDC recommends that all users carry out any additional checks they consider necessary, provided that such checks are lawful and comply with applicable data protection and privacy laws.

9.3 CMSLDC does not independently verify statements made by Candidates or Clients, including but not limited to statements regarding age, marital status, income, education, employment, personal history or character. Individuals may provide inaccurate, incomplete, misleading or false information.

9.4 By using the Services, you acknowledge and agree that you are solely responsible for conducting your own due diligence and for exercising independent judgement before meeting or communicating with any person introduced through the Services.

10. Confidentiality of Introductions

10.1 The identity, personal information and contact details of any individual introduced through the Services are confidential and must not be disclosed, shared, published or used for any purpose other than the intended Introduction.

10.2 All Confidential Information is provided solely for the purpose of facilitating Introductions and the provision of the Services. You must not divulge any Confidential Information to any third party.

10.3 CMSLDC shall not be responsible for any use or disclosure of your Confidential Information by any Candidate or Client once such information has been lawfully shared for the purposes of providing the Services.

10.4 A breach of this clause 10 may result in the immediate termination of your participation in the Services and may entitle CMSLDC to seek damages and other remedies available to it under applicable laws, including injunctive relief.

10.5 The confidentiality obligations set out in this clause 10 shall survive the termination or expiry of your participation in the Services and shall continue to be binding on you regardless of whether your application to register as a Candidate or to become a Client is accepted or rejected by CMSLDC. Such obligations shall continue: (a) in respect of personal data and private information relating to individuals, for so long as such information remains non-public; and (b) in respect of all other Confidential Information, for so long as such information retains its confidential nature, and in each case shall not apply to information which becomes publicly available other than as a result of a breach of this clause 10.

10.6 CMSLDC and you acknowledge that the confidentiality obligations in this clause 10 are reasonable and necessary to protect the legitimate interests of CMSLDC, including the privacy of individuals within its network and the integrity of its Introductions.

11. Non-Circumvention

11.1 You agree not to use any Introduction, contact information or personal details obtained through CMSLDC to circumvent the Services, including by: (a) arranging Introductions for third parties outside the Services; (b) soliciting or recruiting other Candidates or Clients outside the Services; or (c) using CMSLDC’s network for commercial, promotional or competitive purposes.

11.2 A breach of this clause 11 may result in the immediate termination of your access to the Services. Any such breach may cause irreparable harm to CMSLDC, entitling it to seek injunctive relief and other remedies available under applicable laws.

12. Non-Disparagement

12.1 During and after your participation in the Services, you must not make or publish any statement, review or comment, whether orally, in writing, online or otherwise, that is false, misleading or disparaging about: (a) CMSLDC, its representatives, consultants, advisors or affiliates; or (b) any Candidate or Client introduced to you through the Services.

12.2 A breach of this clause 12 may result in the immediate suspension or termination of your participation in the Services and may entitle CMSLDC to seek damages and injunctive relief.

13. Liquidated Damages

13.1 In the event of a breach of confidentiality, non-disparagement or non-circumvention obligations contained in these Terms, you agree to pay to CMSLDC, upon demand, liquidated damages in the amount of AED 100,000 per breach, being a reasonable and genuine pre-estimate of the damage to CMSLDC’s reputation and legitimate business interests that would result from such a breach and is not a penalty. This provision shall not limit CMSLDC’s right to seek injunctive or other equitable relief in addition to the liquidated damages.

13.2 CMSLDC and you acknowledge and agree, at the date of entering into these Terms, that: (a) the damage likely to result from a breach of the obligations set out in this clause 13 would be difficult to precisely quantify at the date of these Terms, including because such damage may materialise indirectly and over time and may involve reputational harm within a private network of high-net-worth individuals, loss of goodwill and the consequential loss of existing and prospective mandates; (b) the amount specified in this clause 13 constitutes a genuine, reasonable and proportionate pre-estimate of the loss likely to be suffered by CMSLDC, having regard to the nature of its business, the value of its client relationships and the potential impact of such breach on its ability to secure and maintain mandates; (c) in determining such amount, CMSLDC and you have taken into account, among other things, (i) historical revenues derived from client engagements, (ii) the average value and duration of mandates, (iii) the likelihood of loss of repeat business, (iv) damage to relationships with candidates and third-party partners, (v) the internal and external costs of mitigating and remedying the effects of such breach and (vi) the sensitivity and exclusivity of the CMSLDC’s network and Introductions; (d) the amount specified is proportionate to the legitimate commercial interests of CMSLDC in protecting its confidential information, the privacy of individuals within its network, relationships and reputation; and (e) the agreed amount reflects a fair allocation of risk between you and CMSLDC at the date of these Terms and does not exceed the level of loss which might reasonably be anticipated to result from such a breach.

14. Indemnity

14.1 You agree to defend, indemnify and hold harmless CMSLDC, its owners, representatives, affiliates, licensors and service providers and their respective officers, directors, employees, contractors, agents, successors and assigns, from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms or your use of the Website; (b) any misrepresentation, wrongful act or omission by you during or after the period of your registration with CMSLDC; (c) any claim or complaint made by a Candidate, Client or third party arising from your actions, conduct or communications; or (d) any unauthorised disclosure or misuse of Confidential Information or personal data by you.

15. Limitation of Liability

15.1 To the fullest extent permitted by applicable law, CMSLDC accepts no liability for the suitability or actions of any Candidate or Client introduced through the Services and makes no warranties, express or implied, in respect thereof.

15.2 CMSLDC shall not be liable under any circumstances for any loss, damage, cost, expense or claim of any kind (whether direct, indirect, consequential or special) arising out of or in connection with: (a) the Introduction of any Candidate or Client; (b) any meeting, communication, Date or relationship between you and any person introduced through the Services; (c) the actions, omissions, representations or conduct of any Candidate or Client following an Introduction; (d) the failure or delay of CMSLDC to introduce any Candidate or to achieve any particular outcome; or (e) your use of or inability to use the Website, including any loss arising from viruses or other harmful material affecting your device or data.

15.3 To the fullest extent permitted by applicable law, CMSLDC’s total aggregate liability to you arising out of or relating to these Terms, the Website or the Services shall not exceed: (a) in the case of a Client: the total fees actually paid by you to CMSLDC under the Private Matchmaking Agreement for the Services giving rise to the claim; and (b) in the case of a Candidate: AED 2,500.

15.4 Nothing in these Terms shall exclude or limit CMSLDC’s liability for death or personal injury caused by its own negligence or for fraud or for any other liability that cannot be excluded or limited under applicable laws.

16. Access to the Website

16.1 CMSLDC reserves the right to withdraw or amend the Website or any Services provided through it, at any time and without notice.

16.2 CMSLDC will not be liable if the Website is unavailable at any time or for any period, whether for scheduled maintenance or otherwise.

16.3 The Website is accessible globally. CMSLDC is registered and operates in the UAE. Users accessing the Website from outside the UAE are responsible for ensuring that their use of the Website complies with any applicable local laws and regulations in their jurisdiction.

16.4 From time to time, CMSLDC may restrict access to parts of the Website or the entire Website, to particular users.

17. No Automatic Acceptance of Applications

17.1 Your acceptance of these Terms creates a legally binding agreement governing your use of the Website and (where applicable) the Services.

17.2 Submitting an application to register as a Candidate or to purchase Client Services does not guarantee acceptance into our network or the provision of any matchmaking package. A separate Private Matchmaking Agreement must be entered into before any paid Client Services are provided.

18. Intellectual Property

18.1 All materials on the Website, including text, images, logos, layout, design, and other content (collectively, “Content”), and all intellectual property rights therein, are owned by or licensed to CMSLDC. These rights are valid and protected in all forms and media.

18.2 You may not reproduce, distribute, modify, create derivative works of, publicly display, republish or transmit any Content without CMSLDC’s prior written approval, except that you may: (a) temporarily store copies of Content in your device’s memory incidental to accessing and viewing it; (b) store files automatically cached by your browser for display enhancement purposes; and (c) print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use only.

18.3 You must not: (a) modify copies of any materials from the Website; (b) use, copy or distribute any photographs, images, video or audio separately from the accompanying text without written permission; (c) delete or alter any copyright, trademark or other proprietary notices from copies of materials from the Website; or (d) access or use any part of the Website or its Content for any commercial purpose.

18.4 All trademarks, service marks, trade names and logos appearing on the Website are the property of CMSLDC. Nothing on the Website grants any licence or right to use any such marks without prior written permission from the relevant owner.

18.5 If you believe that any Content on the Website infringes your intellectual property rights, please notify CMSLDC in writing at love@christianamaxion.com with: (a) a description of the intellectual property right you claim has been infringed; (b) a description of the material you claim is infringing and sufficient information to allow us to locate it on the Website; (c) your contact details, including your name, address, telephone number and email address; and (d) a statement that you have a good faith belief that the use of the material is not authorised by the rights owner, its agent or applicable laws.

19. User Generated Content

19.1 If you submit any content through the Website, including Profile details, photographs, written responses or other materials (“User Content”), you represent that you have the right to provide it and that it does not violate any applicable laws or third-party right.

19.2 You retain ownership of your User Content. By submitting User Content, you grant CMSLDC a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and use your User Content solely for the purpose of operating, providing, improving and administering the Website and the Services, including presenting your Profile to potential matches in accordance with these Terms and our Privacy Policy.

19.3 CMSLDC may remove any User Content at any time in its sole discretion, without notice or liability to you.

20. Prohibited Uses

20.1 You may use the Website only for lawful purposes and in accordance with these Terms. You must not use the Website: (a) in any way that violates any applicable local, national or international law or regulation; (b) to exploit, harm, or attempt to exploit or harm any person, including minors; (c) to transmit any unsolicited or unauthorised advertising or promotional material; (d) to impersonate CMSLDC, any of its employees or representatives, any other user or any other person or entity; or (e) in any way that may harm CMSLDC, the Website, or other users or expose any of them to liability.

20.2 You must not: (a) use the Website in any manner that could disable, overburden, damage, or impair it or interfere with any other party’s use of the Website; (b) use any automated tool, robot, spider, or other means to access, monitor or copy any Content on the Website without our prior written consent; (c) use any device, software or routine that interferes with the proper working of the Website; (d) introduce any virus, Trojan horse, worm, logic bomb or other malicious or technologically harmful material; or (e) attempt to gain unauthorised access to any part of the Website, the server on which it is stored or any database connected to it.

21. Electronic and SMS Communications

21.1 By providing your email address or telephone number, you consent to receiving communications from CMSLDC via email, telephone, WhatsApp or SMS in connection with the Services.

21.2 You may opt out of receiving such communications at any time by notifying us at love@christianamaxion.com or by following the unsubscribe instructions in any communication we send to you.

21.3 If you opt out of communications from CMSLDC, we reserve the right to treat this as a withdrawal from the Services and to terminate your participation as a Candidate or Client accordingly.

22. Third Party Websites

22.1 The Website may contain links to third party websites. Such links are provided for reference only. CMSLDC does not control those websites and is not responsible for their content or any products or services available through them. You access any third party website at your own risk.

23. Submitted Information

23.1 Any feedback, suggestions, ideas, or other information you submit to CMSLDC through the Website (other than personal data governed by our Privacy Policy) will be treated as non-confidential and non-proprietary, and CMSLDC may use it for any purpose without compensation to you.

23.2 You must not submit any material that is unlawful, threatening, defamatory, obscene, or otherwise objectionable. You are solely responsible for any material you submit.

24. Monitoring and Enforcement

24.1 CMSLDC reserves the right to: (a) take appropriate legal action, including referral to law enforcement, for any illegal or unauthorised use of the Website; and (b) terminate or suspend your access to the Website, with or without notice, for any violation of these Terms or for any other reason in its sole discretion.

24.2 CMSLDC does not undertake to review all material submitted to or posted on the Website and assumes no liability for any action or inaction regarding content provided by any user or third party.

25. Disclaimers

25.1 The Content on the Website is provided on an “as is” basis. CMSLDC makes no representation that the Content will be error-free, up to date, free of viruses or suitable for any particular purpose.

25.2 To the fullest extent permitted by applicable law, CMSLDC disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

25.3 Your sole remedy for any dissatisfaction with the Website or its Content is to stop using the Website.

26. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Dubai International Financial Centre Courts.

27. General Provisions

27.1 Entire agreement. These Terms, together with the Privacy Policy and, in the case of Clients, the Private Matchmaking Agreement, constitute the entire agreement between you and CMSLDC in relation to your use of the Website and the Services and supersede all prior agreements, representations and understandings.

27.2 Waiver. No failure or delay by CMSLDC in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing to be effective.

27.3 Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

27.4 Limitation on time to bring a claim. Unless prohibited by applicable laws, any claim or cause of action arising out of or relating to these Terms, the Website or the Services must be commenced within one (1) year of the date on which the cause of action accrued, failing which it shall be permanently barred.

27.5 Class action. Any claim under these Terms must be brought on an individual basis. Class, representative or collective actions are not permitted.

27.6 Modification and termination. We may modify or terminate these Terms at any time. Your continued use of the Website after any modification constitutes your acceptance of the revised Terms. You may terminate your use of the Website at any time by ceasing to access it.

27.7 No Agency or Employment. Nothing in these Terms creates any partnership, agency, employment or joint venture between you and CMSLDC.
